CODE OF CONDUCT

I.     PERSONAL CONDUCT

As an officer, employee or a member of the Board of Directors of Bank Mutual Corporation or of its subsidiaries or affiliates (hereafter "Bank Mutual Corporation," "Bank Mutual" or the "Bank"), you shall follow the specific guidelines, principles, and requirements set forth in this document, and in all the applicable laws and regulations and regulatory requirements.  You shall make all your business decisions based on the standards for personal and professional conduct set forth in this document.  If uncertainties occur, you shall seek the guidance of your immediate superior, the Human Resources Director, the Chief Executive Officer of Bank Mutual, or Bank Mutual's Vice President and Corporate Counsel.
