CODE OF CONDUCT

This Code of Conduct applies to directors, officers, employees and affiliates of Bank Mutual Corporation and all of its subsidiary corporations. For convenient reference, we include all of those entities when we use the term Bank Mutual" herein.

Every member of the Board of Directors, and every officer, employee, and affiliate of Bank Mutual shall follow the specific guidelines, principles, and requirements set forth in this document, and in all the applicable laws and regulations and regulatory requirements. Each person shall make all their business decisions based on the standards for personal and professional conduct set forth in this document. If uncertainties occur, the person shall seek the guidance of his/her immediate superior, the Human Resources Manager, the Chief Executive Officer of Bank Mutual, or Bank Mutual's corporate counsel.

Every member of the Board of Directors, and every officer, employee, and affiliate of Bank Mutual shall be given a written copy of Bank Mutual's CODE OF CONDUCT.
